  Question:

We are selling goods directly to consumers in China. In our agreement with the consumer, can we limit our exposures to any damages caused to the consumer in case of any accidents?

In China, torts liabilities may not be fully contracted out despite what is agreed in the agreement.

Clauses that waive liabilities for personal injuries or damages to properties through intentional torts or gross negligence are invalid.

In particular, if a third party is injured by the activities of one contracting party, the other party may still be jointly liable if the court views that that party has breached its duty to such third party.
